PHILIPS Family Rewards
The Philips Family Rewards program (" Philips Family Rewards or PFR ") is owned and operated by Philips Electronics Singapore Private Limited, or any of its affiliates ("Philips"), or its third-party providers (“Partners”). Philips Family Rewards is provided subject to compliance with the terms and conditions of this rewards agreement ("Rewards Agreement").
PFR is applicable to the sale of Philips Products sold in Singapore only.
Please read this Rewards Agreement carefully before accessing or using Philips Family Rewards. By accessing or using Philips Family Rewards, you agree to be bound by the terms and conditions set forth herein, as if you had actually signed them.
 If you do not agree to the terms and conditions set forth below, you may not use Philips Family Rewards.
You acknowledge and agree that this Rewards Agreement and/or any subsequent modifications shall be a legally binding contract between you and Philips. Philips in its sole discretion may modify the terms and conditions in this Rewards Agreement as described below. By completing the registration process and subject to approval into PFR by Philips, you become an authorized user of PFR (a "Member").  You further acknowledge that Philips in its sole discretion may refuse the membership or withdraw the membership without giving any reasons and without any liability whatsoever.
You hereby agree and acknowledge and affirm that any information provided by you under this Rewards Agreement (“Information”) is true and accurate for Philips to rely and trust upon and that you shall hold Philips harmless and/or indemnify against any loss and/or claims from any third party arising out of such Information. However, for avoidance of doubts, Philips shall at any given point of time and in its sole discretion request for relevant document and/or proof to verify any of such Information. Refusal or delay in providing the Information so requested by Philips whether oral and/or in writing shall ipso facto amount to ineligibility to PFR and/or termination of any existing membership to PFR with no liabilities to Philips whatsoever.
  1. A. ELIGIBILITY
    1. 1. Membership in PFR is upon registration and approval by Philips into PFR.
    2. 2. Each Member must be at least 18 years of age or older to be eligible for signing up Rewards Agreement. Philips reserves the right to request for proof of age any time. Members between the legal age 14 to 18 must provide with a written approval from one of the Parent Member.
    3. 3. PFR is limited to individuals only. Corporations or other business entities may not become Members.
    4. 4. PFR is limited to one account per individual, even if that individual has multiple e-mail addresses. In addition, only one account per e-mail address will be allowed.
    5. 5. Automated services, scripts, or other machines are not eligible.
    6. 6. Each member must be a citizen or legal resident of Singapore or must be holding a valid work pass/permit to be eligible for PFR and shall also be holding a permanent residential address, proof of which may be required to be furnished at Philips’ request.
  2. B. MEMBER REGISTRATION OBLIGATIONS
    1. 1. Philips Product(s) Purchase
      In order to access and use PFR, Member needs to acquire points by purchasing a Philips Product and registering it online on the Philips Family Rewards website “PFR Website” (www. familyrewards.philips.com.sg). For the purposes of this Rewards Agreement, a “Philips Product” shall mean only those Philips Product(s) which have been notified and/or uploaded by Philips as being eligible for registration under PFR at the PFR website (“Products”). A list of such Products (“Product List”) can be obtained from the website at the following address: http://www.familyrewards.philips.com.sg/Explore/ProductList. Philips may at its sole discretion modify Product List any time without giving prior notification. Members shall and are expected to update themselves regularly on such modifications in the list by visiting Philips’ website at http://www.philips.com.sg/familyrewards
      1. 1.1  The Product must be registered within one month of the actual date of purchase as indicated on the proof of purchase. Proof of purchase shall be any original receipt/invoice or b/e document issued by the seller in Singapore to the Member.
      2. 1.2  Any attempt to supplement or amend any terms and conditions of this Rewards Agreement, or to enter an order for Product(s) which is subject to additional or altered terms and conditions, shall be considered null and void.
      3. 1.3  With respect to any Product(s), Philips provides no warranties except those stated in the Philips limited warranty cards included with the Product(s), if applicable; or in the case of optional extended warranties issued by Philips, such extended warranty documentation.
      4. 1.4  Member shall be required to produce the relevant purchase receipt at each redemption of their Rewards under PFR. Philips reserves the right to terminate, suspend, or not allowing redemption of Rewards under PFR on loss of and/or failure on part of Member to produce the corresponding receipt.
      5. 1.5  Members are requested to note that there are two separate lists available on the PFR website namely “Product List” and “Explore benefit”. Members can only register those products which are available at “Product List” given at the link http://www.familyrewards.philips.com.sg/Explore/ProductList. For avoidance of doubt Product List is only indicative of Products eligible for registration and by no means should be construed to indicate otherwise. Members are encouraged to familiarize themselves with the Product list.
      6. 1.6  However, Members can redeem their cash points only with respect to those products which are mentioned under the “Explore benefit” at the day of issue of the voucher. No request regarding redemption of cash points shall be entertained by Philips for products which are not clearly indicated under the Explore Benefit at the day of issue of voucher.
    2. 2. Points System and Creation of PFR Web Account
      1. 2.1 The purchase price for Philips Products will be represented by the number of Philips Rewards points required for redemption.  Each registered Member shall be given a Philips Family Rewards Web Account (“My Account”) that will have a record of points secured by Member and corresponding receipts of such purchases as evidence.
      2. 2.2  Expiration of Points
        Points indicated in members account shall expire if not redeemed. Points are valid until the 31st December of the year following the year of purchase.
      3. 2.3 Family Concept
        1. 2.3.1 “Family” shall mean members living in same household and having common residential address as specified on their respective ID/ FIN no. or any equivalent card, proof of which is mandatory for any member to provide to Philips before registration and each time when Member avails redemption under the PFR.
        2. 2.3.2 Family members may see other members’ points and products if access is granted by the Member. Philips shall not be liable for any claims arising from sharing and access of account, Member permits such use and access solely on their own discretion and risk.
        3. 2.3.3 Point transfer is possible between family members only.
    3. 3. Reward Redemption
      1. 3.1 Products
        Member shall be entitled to redeem the points to purchase Product(s) indicated in their Web Accounts as per the specifications and details available on Philips Family Rewards Website.
        Philips confirms the listed price for Product(s) and/or number of Philips Rewards Points utilized to purchase such Product(s) during the order processing procedures. In the unlikely event that a stated price for Product or the number of Philips Rewards Points utilized is incorrect, then the following applies.
        1. 3.1.1 If the correct number of Philips Rewards Points needed as part of the purchase price for Product(s) is higher than the Philips Rewards Point requirement listed, Philips may, in its sole discretion, either (A) contact you to advise you of the pricing error and allow for the purchase of the Product based on the correct price; or (B) cancel the order for Product(s) and notify you of such cancellation.
          If the correct number of Philips Rewards Points needed for purchase of the Product is lower than the Philips Rewards Point requirement listed, Member will not be able to proceed to product redemption.
        2. 3.1.2 Only Products which are specified in PFR website under “Explore Benefits” can be redeemed, subject to stock availability. No special request to order stock shall be entertained by Philips, Member are obliged to opt for another product specified on Web Account, subjected to availability at the time of redemption.
        3. 3.1.3 Member acknowledges that Philips Product shall be redeemed only at Philips Experience Showroom Toa Payoh, 620A Lorong 1 Toa Payoh TP4 Level 1, Singapore 319762.
        4. 3.1.4 It is an essential term of this Rewards Agreement that Member shall present a voucher at Philips showroom at the address given at the PFR website. The Voucher should be printed from the PFR website. The Voucher shall have the validity of 14 days from the date of issue. However, price and points indicated on the voucher with respect to a Product is valid only for one day from the date of issue such voucher (“Price and Points validity”). Philips shall not be liable for any changes and/or differences in the points and price indicated on such Voucher after the expiry of one day and any deficiency in price and points shall be solely born by the Member.
      2. 3.2 Activities
        1. 3.2.1 Philips may organize some events, promotions, and activities from time to time, in its sole discretion and may award points to new or existing Members.
        2. 3.2.2 Activity registration must be done online on the corresponding webpage.
        3. 3.2.3 Participation to activities is based on individual activities and where separate Terms & Conditions shall also apply in addition to this Agreement.
        4. 3.2.4 Member registration to PFR is a confirmation that Member wish to receive communication from Philips Electronics Singapore Pte Limited and its programme partners on offers, programmes, promotions, scheme(s) or any other information pertaining to Philips products through email, SMS, post or other forms of media. Member personal information, including information about Member obtained as a result of consumer of Philips Products agreeing to sign up for PFR and obtaining the membership, may be used by Philips for marketing purposes to improve their services and to provide member with the latest information about those services and any new related services and promotion. In case you do not wish to receive such communication please inform Philips about the same.
        5. 3.2.5 Philips will maintain and update in electronic form data that is provided by the Member at the time of enrollment to PFR or through subsequent contact. Philips reserves the right to share this data with agencies or organizations for the provision of member services, facilities and benefits to the extent permitted by law.
        6. 3.2.6 Notices and or any other communication sent to you by Philips shall be deemed to have been received if posted to address provided by the Member
      3. 3.3  Reward Registration Data.
        In consideration of use of Philips Family Rewards, Member agrees to provide to Philips and its third-party partners true, accurate, current, and complete information as prompted by this Website's online registration form (the " Reward Registration Data") and agrees to maintain and promptly update the Reward Registration Data as necessary in order to keep it true, accurate, current and complete. If Member provides any information that is untrue, inaccurate, not current or incomplete, Philips may suspend or terminate Member's account immediately and may refuse all of Member’s current or future use of PFR.
    4. 4. Member Conduct
      1. 4.1 Member agrees not to use Philips Family Rewards or this Website to:
        1. a) Violate any local, state, national or international law;
        2. b) Stalk, harass or harm another individual;
        3. c) Collect or store personal data about other Members;
        4. d) Impersonate any person, or otherwise misrepresent Member's identity;
        5. e) Interfere with, disrupt or violate the Terms & Conditions and operating rules of Philips Family Rewards or servers or networks connected to Philips Family Rewards; or disobey any requirements, procedures, policies or regulations of such networks;
        6. f) Interfere with another Member's use of Philips Family Rewards;
        7. g) Attempt to gain unauthorized access to Philips Rewards, or to other accounts, computer systems or networks connected to Philips Rewards;
        8. h) Transmit any file that contains viruses, worms, Trojan horses, or any other contaminating or destructive features;
        9. i) Use Philips Rewards to conduct any activity or solicit the performance of any illegal activity or other activity that infringes the rights of others;
        10. j) Resell or otherwise generate income by providing access to Philips Family Rewards to others other than those permitted under Rewards Agreement.
    5. 5. Modifications to Terms & Conditions
      1. 5.1 Philips reserves the right to modify Philips Family Rewards, this Rewards Agreement and/or related terms applicable to PFR at any time without prior notice. It is a Member's responsibility to review from time to time and stay familiar with this Rewards Agreement. While Philips reserves this right, Philips will attempt to notify Member of any such changes to the Website and material changes to the Rewards Agreement via e-mail and/or by posting such changes on the Philips Rewards Website.
      2. 5.2 Philips may discontinue, add to or revise any or all aspects of Philips Family Rewards in its sole discretion and without notice, including Philips Family Rewards Points, access to any support services, publications and other products or services ancillary to Philips Family Rewards or membership.
      3. 5.3 If Member objects to any changes, Member's sole recourse shall be to cease using Philips Family Rewards. Member's continuing use of Philips Family Rewards after notification of any such change(s) constitutes conclusive evidence of Member's acknowledgement of the modification to this Rewards Agreement and Member's agreement to be bound by such change(s).
      4. 5.4 Any new or additional features of Philips Family Rewards shall be subject to this Rewards Agreement.
    6. 6. DESCRIPTION
      The description of the Products shall be as set out on the PFR website. All drawings, descriptive matter, specifications and advertising issued by the Philips and any descriptions or illustrations contained in the Philips's catalogues or brochures ("the Marketing Materials") are issued or published for the sole purpose of giving an approximate idea of the Products described in them and such Marketing Materials do not and will not form part of the contract
    7. 7. DELIVERY
      Where products are purchased via online delivery option, delivery shall be on the terms set out in our delivery policy and incorporated into the Return and Delivery Policy available at http://www.familyrewards.philips.com.sg/Home/DeliveryPolicy
    8. 8. RISK OR TITLE
      1. 8.1 Products purchased under PFR shall be at member risk from the time of delivery
      2. 8.2 Ownership of the Products will only pass to Member when we receive full payment of all sums due in respect of the Products, including delivery charges wherever applicable.
    9. 9. PAYMENT
      1. 9.1 Payment of the price for the Products is due in full before delivery and failure to make payment on the due date shall without prejudice to the Philips's other rights, entitle the Philips to refuse delivery and/or cancel any contract between the Philips and the Philips. For the purposes of this condition only, the due date shall be the date of actual delivery or such date as the Philips has communicated to the Philips whether in writing or orally that it has the Products in stock.
      2. 9.2 Time for payment shall be of the essence and no payment shall be deemed to have been received until the Philips has received cleared funds.
      3. 9.3 All payments payable to the Philips under the Rewards Agreement shall become due immediately upon termination of Rewards Agreement despite any other provision
    10. 10. LIMITATION OF LIABILITY
      1. 10.1 The following provisions set out the entire liability of the Philips (including any liability for the acts or omissions of its employees, agents and subcontractors) to the Member arising from any breach of these Conditions and any representation, statement or tortious act or omission including negligence arising under or in connection with the Rewards Agreement or any terms which would deemed to have been imported herein by reference.
      2. 10.2 All warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from the Rewards Agreement and nothing in these Terms excludes or limits the liability of the Philips for death or personal injury caused by the Philips's negligence or fraudulent misrepresentation.
      3. THE MEMBER'S ATTENTION IS IN PARTICULAR DRAWN TO THE PROVISIONS OF THE FOLLOWING CONDITIONS
      4. 10.3 Subject to condition 10.2 the Philips shall not be liable to the Philips for any loss of profit, loss of business, loss of goodwill, reputation, anticipated savings or revenues or any indirect or consequential loss or damage, costs, expenses or other claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with the supply of the Goods or their use or resale by the Member and the Philips's entire aggregate liability in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise, arising in connection with the performance or contemplated performance of this Rewards Agreement shall not exceed the price of the Products supplied.
      5. 10.4 The Member acknowledges and agrees that except as expressly provided in this Section 11, the Philips shall not be under any liability of any kind whatsoever and howsoever caused arising directly or indirectly in connection with this Rewards Agreement.
      6. 10.5 The Member acknowledges and agrees that the allocation of risk contained in this Rewards Agreement is reflected in the price agreed by the Philips and the Member.
    11. 11. TERMINATION
      1. 11.1 Without prejudice to any of its other remedies, Philips reserves the right to accept or refuse any order and to cancel any uncompleted contract with the Member or to suspend in relation to a delivery under any Rewards Agreement if the Member fails to observe or perform any of these terms under the Rewards Agreement.
    12. 12. INDEMNITY
      Member shall indemnify the Philips against all damage or injury to any person firm or Philips against all proceedings charges and expenses for which the Philips may become liable in respect of the Products supplied by or on behalf of the Philips except to the extent that liability therefore has been expressly admitted in these Conditions.
  3. C. DISCLAIMER OF WARRANTIES
    1. 1. Member agrees that use of Philips Family Rewards and this Website is solely at the risk of the Member.
    2. 2. Philips Rewards and all services offered therein are provided on a strictly "AS IS" and "AS AVAILABLE" basis, without representation or warranty (including any implied warranties) of any kind.
    3. 3. Neither Philips nor its Partners makes any warranty:
      1. 3.1 That Philips Family Rewards will meet Member's requirements.
      2. 3.2 That Philips Family Rewards will be uninterrupted, timely, and free of errors or without defects.
      3. 3.3 As to the results a Member may obtain by using Philips Family Rewards.
      4. 3.4 As to the accuracy or reliability of any information obtained via Philips Family Rewards.
    4. 4. PHILIPS EXPRESSLY DISCLAIMS ANY AND ALL EXPRESSED, IMPLIED AND STATUTORY WARRANTIES, OTHER THAN AS OTHERWISE SET FORTH IN THIS MEMBER REWARDS AGREEMENT, REGARDING PHILIPS FAMILY REWARDS, INFORMATION, SERVICES OR PRODUCTS PROVIDED BY OR THROUGH PHILIPS REWARDS (OTHER THAN THOSE INCAPABLE OF EXCLUSION UNDER THE LAWS APPLICABLE TO THIS REWARDS  AGREEMENT), INCLUDING, BUT NOT LIMITED TO:
      1. 4.1 THE IMPLIED WARRANTY OF MERCHANTABILITY;
      2. 4.2 THE IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR USER OR PURPOSE; AND
      3. 4.3 NON-INFRINGEMENT.
    5. 5. Philips makes no warranty with regard to any products, services, or gifts obtained by Members through Philips Family Rewards. Philips cannot and shall not be liable or responsible for those guarantees, warranties and representations, if any, offered by Partners, manufacturers of merchandise or suppliers of services. However, the third party manufacturer or supplier of these Product(s) may offer its own warranties, and you agree to look solely to such manufacturer or supplier for such warranty-related claims.
    6. 6. No advice or information, whether oral or written, obtained by a Member from Philips or via Philips Family Rewards shall create any warranty not expressly made herein.
  4. D. GOVERNING LAW AND DISPUTE RESOLUTION
    1. 1. The Rewards Agreement shall be governed by and construed according to the laws of Singapore. The courts of Singapore shall have jurisdiction to settle any disputes that may arise out of or in connection with Rewards Agreement.
    2. 2. The Rewards Agreement constitutes the complete, final and exclusive understanding between Philips and Member relating to the subject matter hereof and governs Member's use of Philips Family Rewards, superseding all prior or contemporaneous understandings, agreements, communications, and/or advertising with respect to such subject matter.
    3. 3. If any provision(s) of the Rewards Agreement is (are) held by a court of competent jurisdiction to be invalid, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties, and all other provisions shall remain in full force and effect.
    4. 4. Philips's failure to exercise or enforce any right or provision of this Rewards Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Philips in writing.
    5. 5. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Rewards Agreement.
    6. 6. Philips may assign its rights and delegate its duties under this Rewards Agreement to any party at any time without notice to Member.
    7. 7. All headings in this Rewards Agreement are for convenience only and have no legal effect.
